By downloading, installing, or using Memoria ("the App"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the App.

Memoria is a personal notes (Customer Relationship Management) application designed to help individuals manage their personal and professional relationships. The App provides features including contact management, note-taking, AI-powered insights, and reminder systems.

3. User Responsibilities

You are responsible for:

Maintaining the confidentiality of your app access
All activities that occur under your account
Ensuring that your use complies with all applicable laws
Respecting the privacy and personal information of your contacts
Backing up your data regularly

4. Acceptable Use

You agree NOT to use Memoria to:

Store or manage information without appropriate consent
Violate any laws or regulations
Harass, abuse, or harm another person
Impersonate any person or entity
Interfere with or disrupt the App's functionality
Attempt to gain unauthorized access to any portion of the App

5. Intellectual Property

The App and its original content, features, and functionality are owned by Genue Labs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6. User Content

You retain all rights to the content you create within Memoria. By using the App, you grant us a limited license to process your content solely for the purpose of providing the App's services to you.

7. AI Features and Processing

Memoria includes AI-powered features. By using these features:

You understand that AI suggestions are automated and may not always be accurate
You agree to review and verify any AI-generated content
You acknowledge that AI processing may require cloud services (with your consent)
You maintain responsibility for all content, including AI-assisted content

8. Premium Subscription

Memoria offers a Premium subscription with additional features:

Unlimited contacts and storage
Advanced AI analysis
Cloud backup and sync
Priority customer support
Export features

Subscription fees are billed in advance and are non-refundable except as required by law.

9. Privacy and Data Protection

10. Disclaimers

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that:

The App will be uninterrupted or error-free
Defects will be corrected
The App is free of viruses or harmful components
AI-generated suggestions are accurate or appropriate

11. Limitation of Liability

In no event shall Genue Labs be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the App, including but not limited to loss of data or profits.

12. Indemnification

You agree to indemnify and hold Genue Labs harmless from any claims, losses, liabilities, damages, costs, or expenses arising from your use of the App or violation of these Terms.

13. Termination

We may terminate or suspend your access to the App immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the App will cease immediately.

14. Data Portability

You can export your data at any time. Upon account termination, you have 30 days to export your data before it may be permanently deleted.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the App or via email (if provided).

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Genue Labs operates, without regard to conflict of law provisions.

17. Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
